1. General

1.1 These Terms of Business (“Terms”) govern all services and works undertaken by AP Mitchell Building Services Ltd (“AP Mitchell Group”, “we”, “us”, “our”).
1.2 By engaging us to provide services, the client (“you”, “your”) agrees to these Terms in full, unless otherwise agreed in writing.
1.3 No variation to these Terms shall apply unless confirmed in writing by a Director of AP Mitchell Group.

2. Quotations and Orders

2.1 All quotations are valid for 30 days unless otherwise stated.
2.2 Any orders or instructions must be confirmed in writing.
2.3 We reserve the right to withdraw or amend quotations prior to acceptance.

3. Payment Terms

3.1 Upfront Payment: All works and services must be paid in full in advance unless formal credit terms have been approved in writing.
3.2 Credit Terms: Where credit facilities are granted, invoices are strictly 30 days net from the invoice date, unless otherwise agreed in writing.

3.3 Late Payment:

• Interest will accrue on overdue balances at a rate of 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
• An additional administration charge may also be applied to cover debt recovery costs.
  3.4 Non-Payment: Failure to pay in accordance with these Terms may result in:
• Suspension of works and/or withdrawal of labour and materials.
• Immediate cancellation of credit terms.
• Legal action to recover outstanding amounts, plus interest and costs.

4. Ownership and Title

4.1 All goods and materials supplied remain the property of AP Mitchell Group until paid for in full.
4.2 We reserve the right to remove any unfixed goods or equipment in the event of non-payment.

5. Liability

5.1 AP Mitchell Group shall not be liable for delays, losses, or damages arising from circumstances beyond our reasonable control.
5.2 Nothing in these Terms shall limit liability for death or personal injury caused by our negligence.

6. Termination

6.1 We may suspend or terminate services immediately if you fail to make payment when due or otherwise breach these Terms.

7. Jurisdiction

7.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
7.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
